A Swedish stock loan lets a founder, family office or controlling shareholder raise cash against a holding listed on Nasdaq Stockholm without selling it, without giving up the votes, and while remaining the beneficial owner until the facility is repaid. The Swedish krona floats freely rather than sitting under any peg, so an SEK-listed line drawn in USD or EUR carries a live currency exposure — which is why the hedging and settlement terms are set out expressly before anything is drawn.
What shapes a Swedish facility is the flagging regime and the free float of the name. Under the Financial Instruments Trading Act, reaching, exceeding or falling below 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66⅔% or 90% of a listed company’s votes or shares is notifiable to both the issuer and Finansinspektionen, and a security interest can bear on that calculation — so the pledge is sequenced around it. Liquidity is rarely the constraint for OMXS30 constituents and the larger Large Cap names, where Sweden’s deep household-investor base supports free float and turnover; it weighs more on thin Small Cap and First North lines. Shares settle T+2 through Euroclear Sweden, which governs when the pledge is perfected and the loan drawn.
