A German stock loan lets a founder, family office or controlling shareholder raise cash against a position listed in Frankfurt without selling it, without giving up voting control, and while remaining the beneficial owner until the facility is repaid. Because the shares are quoted in euro on Continental Europe’s deepest equity market, a EUR line funds cleanly — and a USD drawdown against a euro-denominated position carries only a straightforward, hedgeable currency leg rather than a structural peg risk.
What shapes a German facility is an unusually granular disclosure regime. Under the Wertpapierhandelsgesetz (WpHG), Sections 33 et seq., voting rights are notifiable to BaFin and the issuer once a holding reaches, exceeds or falls below 3%, then 5%, 10%, 15%, 20%, 25%, 30%, 50% and 75% — a lower first trigger than most peer markets. Critically, the attribution rules reach instruments and lending or title-transfer arrangements as well as direct holdings, so a pledge or transfer of title can itself be notifiable. Liquidity is rarely the constraint for DAX and MDAX constituents, where Xetra free float supports a higher loan-to-value; it weighs on SDAX and Scale names. Shares settle T+2, which governs when the pledge is perfected and the loan can be drawn.
