A Denmark stock loan lets a founder, family office or controlling shareholder raise cash against a position listed on Nasdaq Copenhagen without selling it, without surrendering voting control, and while staying the beneficial owner until the facility is repaid. Because the Danish krone is held to the euro under ERM II inside a narrow band around a central rate near 7.46 DKK per euro, a DKK-listed line supports a euro drawdown cleanly — which is how most cross-border borrowers take the loan.
What shapes a Danish facility is the transparency regime and the concentration of the market. Under the Capital Markets Act, a holding that reaches, exceeds or falls below 5 per cent of a listed company’s share capital or voting rights — and then 10, 15, 20, 25, 50 and 90 per cent, plus one-third and two-thirds — is notifiable to the issuer and to Finanstilsynet, generally within four trading days, so the pledge is sequenced around that. Liquidity is rarely the constraint for OMXC25 constituents such as the large pharmaceutical and shipping names, where free float and daily turnover support a higher loan-to-value; it weighs more on First North growth-market lines and thin small-caps. Shares settle T+2 through Euronext Securities Copenhagen, which governs when the pledge is perfected and the loan can be drawn.
