Black Haven Investments Limited is an institutional investment firm. It provides securities-backed financing — stock loans and block-trade liquidity against listed shares — as principal, from its own balance sheet. It is not a deposit-taking bank, a broker-dealer, a fund, an investment adviser or a fiduciary. It does not hold client money or accept deposits. It acts in its own commercial interest as counterparty to any transaction.

The firm’s contracting entity is incorporated in the Commonwealth of The Bahamas. Private lending on a principal basis, from the firm’s own resources, is not in itself a licensed securities activity. Where any activity of the firm falls within the regulatory perimeter of the Securities Industry Act and the Securities Commission of The Bahamas, it is conducted accordingly. The firm is not authorised to carry on, and does not carry on, deposit-taking or any other regulated banking business. Any applicable licence or registration number is available from the firm on request.

The firm engages by introduction or direct enquiry. It acts only for qualifying professional and institutional counterparties — founders, executives, substantial shareholders, family offices and similar sophisticated holders. Its services are not directed at, and are not available to, retail clients or members of the public. No facility is offered to any person who is not an eligible counterparty under the relevant criteria.

The information on this website is not directed at any person in any jurisdiction where its publication or availability would be contrary to local law or regulation. Each visitor is responsible for observing such restrictions. Nothing here is directed at "US persons" as defined under applicable US securities law. Any engagement involving US-listed securities, US persons or US-restricted stock is undertaken only after specific legal review, and within applicable restrictions (including, where relevant, Rule 144).

Before any facility, the firm conducts customer due diligence. This includes identity verification, source-of-funds and source-of-wealth checks, beneficial-ownership analysis, and sanctions and politically-exposed-person screening. These checks are consistent with the Financial Transactions Reporting Act and applicable anti-money-laundering standards in The Bahamas. The firm does not transact with sanctioned persons or where the source of funds or securities cannot be satisfactorily evidenced. It may decline or end any engagement on these grounds, and it need not give reasons.

The firm is a principal lender and, in block transactions, a principal buyer or risk-taker. It acts in its own interest and as your counterparty. Its interests may differ from or conflict with yours, and it owes you no fiduciary or advisory duty. The firm may hedge, lend, borrow, trade or hold positions in the relevant securities or related instruments. It may also transact with other counterparties in the same securities at the same time.

Enquiries and any indicative terms are exchanged in confidence and are provided for discussion only. Indicative terms are not a commitment, an offer or an obligation to lend. They are subject to credit approval, due diligence and execution of definitive documentation. They may be withdrawn or varied at any time. Only signed, definitive documentation binds the firm. Material non-public information is neither requested nor required at the enquiry stage.

The courts of New Providence, The Bahamas have jurisdiction over any dispute arising out of or in connection with them. Any facility is governed separately by its own signed documentation. Its terms prevail if there is any inconsistency with this page.
