The firm is engaged by introduction or direct enquiry and acts for qualifying professional and institutional counterparties — substantial shareholders, founders, family offices and corporates. It is not a retail business and does not offer services to the general public. Each engagement is assessed on its own facts; see eligibility for what makes a position reviewable.
Before terms are finalised, the firm carries out know-your-client checks appropriate to an institutional counterparty: verification of identity, confirmation of beneficial ownership and corporate structure, and an understanding of the counterparty’s standing. Relationships are kept under review for the life of any facility.
The firm applies anti-money-laundering and counter-terrorist-financing procedures consistent with international standards, including the recommendations of the Financial Action Task Force (FATF). A risk-based approach governs the depth of diligence, records are retained, and any concern is escalated and, where required, reported through the appropriate channels.
Counterparties and connected parties are screened against the principal sanctions regimes — the United Nations, the European Union, the United Kingdom (OFSI / HM Treasury) and the United States (OFAC) — and for politically-exposed-person status. The firm declines to proceed where sanctions exposure or unmanageable financial-crime risk is identified.
Onboarding includes a reasoned understanding of source of funds and source of wealth. Where shares are pledged as collateral or moved as a block, the firm confirms that the holding is legitimately owned, properly held in custody, and free of liens, lock-ups or restrictions that would impede a pledge or transfer.
Each transaction is reviewed in the round — the counterparty, the issuer, the listing venue and the disclosure obligations that attach to a substantial holding. The firm will decline a transaction that cannot be conducted to this standard, whatever its commercial appeal.
The firm acts as principal. Lending and any regulated activity are conducted by, or through, appropriately licensed or registered entities in the relevant jurisdiction.
