A Poland stock loan lets a founder, family office or controlling shareholder raise cash against a position listed on the Warsaw Stock Exchange without selling it, without surrendering voting control, and while staying the beneficial owner until the facility is repaid. The złoty floats freely and Poland sits outside the euro area, so a USD or EUR drawdown against a PLN-listed line carries genuine currency risk — which Black Haven prices and hedges expressly rather than assuming away.

What shapes a Warsaw facility is the disclosure regime and the ownership profile of the name. Under the Act on Public Offering, holdings that reach or cross 5%, 10%, 15%, 20%, 25%, 33%, 50%, 75% or 90% of voting rights are notifiable to the KNF and the company, generally within a few business days, and a lender’s security interest can itself move a position across a threshold — so the pledge is sequenced around that. As the largest equity venue in Central and Eastern Europe, Warsaw carries a heavy state-owned-enterprise footprint, where the State Treasury’s stake compresses free float; liquidity supports a higher loan-to-value on WIG20 constituents and thins quickly on mWIG40 and NewConnect names. Shares settle T+2 through KDPW, which governs when the pledge is perfected and the loan drawn.

01Does a share pledge in Poland have to be disclosed to the KNF?
It can. Under the Act on Public Offering, reaching or crossing 5%, 10%, 15%, 20% and higher voting-rights thresholds is notifiable to the KNF and the company, generally within a few business days of the change. Because a lender’s security interest can itself shift a holding across a threshold, we map the exact notification and timing to your position before anything is executed, and sequence the pledge around it. 02Can I borrow in euros or US dollars against Warsaw-listed shares?
Yes. Poland is an EU member but retains the złoty, which floats against the euro and the dollar with no peg, so a EUR or USD facility drawn against a PLN-listed line carries real currency risk. Black Haven does not treat that as incidental — the hedging, settlement and tax points are set out expressly in the documentation so the exposure is understood and managed.
03How much can I borrow against Poland-listed shares?
The loan-to-value is set to your holding — its free float, daily traded volume, volatility, and your own regulatory standing. A large-cap with deep free float supports a higher LTV than a thin mid-cap, and a non-recourse structure runs lower than a full-recourse one on the same stock.
