A Vietnam stock loan lets a founder, family office or controlling shareholder raise cash against a position listed on the Ho Chi Minh Stock Exchange without selling it, without surrendering voting control, and while staying the beneficial owner until the facility is repaid. The dong is not freely convertible and moves within a managed band set by the central bank, so a cross-border line is typically drawn and serviced in US dollars offshore, against VND-denominated collateral held onshore.
What shapes a Vietnam facility is the major-shareholder regime and the foreign-ownership cap on the name. Under the Law on Securities, an interest of 5% or more of a listed company’s voting shares makes the holder a major shareholder, notifiable to the State Securities Commission and the exchange, with further reporting on subsequent changes in the holding — so the pledge is sequenced around that. Many names also carry a foreign-ownership limit, and once the foreign room is full a foreign lender can only take shares from another foreign holder. Liquidity concentrates in the VN30 large-caps; thinner lines are financed more selectively. Shares settle T+2 through the national depository, which governs when the pledge is perfected and the loan can be drawn.
