Europe (Euronext) equity markets.
A Euronext block trade moves a large line of listed stock in a single negotiated transaction — off the central order book, at an agreed price — so a holder can exit, or an acquirer build a position, without walking the screen. Under MiFID II a trade above the large-in-scale threshold is exempt from pre-trade transparency, and Black Haven can take the line onto its own book, giving the seller a clean, priced exit while the post-trade publication and any shareholding notification are managed around the print.
On Euronext the mechanics run through the MiFID II framework. A negotiated block that meets the large-in-scale threshold for the instrument is waived from pre-trade transparency, and Euronext operates a dedicated dark facility, Euronext Block, to match conditional and firm interest away from the lit book. Post-trade, the print is still reported, but a large-in-scale transaction qualifies for deferred publication rather than immediate disclosure — which is what lets size clear without signalling. How the block sits against the name’s average daily turnover drives the achievable price, and any crossing of a Transparency Directive threshold triggers a separate notification. Settlement is T+2 through the relevant national CSD.
