About B3 — Brasil, Bolsa, Balcão.

B3 — Brasil, Bolsa, Balcão is the principal cash-equity venue of Brazil. Founded in 2017 (merger; predecessor BM&FBovespa from 2008; founding exchanges from the 19th century), it operates under the oversight of Comissão de Valores Mobiliários (CVM), and its leading benchmarks are Ibovespa, IBrX 50. Listing standards are set out in the Regulamento do Listamento da B3; Novo Mercado standards.

The principal Latin American equities venue. The Novo Mercado tier imposes one-share-one-vote and full free-float requirements that materially affect the eligibility of controlling-shareholder positions for collateralisation.

On B3, block trades run through the special trading procedures the exchange sets under its CVM-approved rulebook, separate from the continuous order book. Only shares the CVM designates as eligible can be blocked, each with a defined minimum lot, and the trade must clear where price formation is protected. How much size the market absorbs tracks the name’s turnover — Ibovespa and IBrX 50 constituents take large lines; Bovespa Mais names do not. Where Black Haven takes the position onto its book, the seller’s exit is priced and certain, and the post-trade disclosure is sequenced around the print. Settlement is T+2.

What qualifies on B3.

B3 is an established but selective venue; we weigh eligibility against the stock’s liquidity, free float, and how concentrated the holding is.

For any given B3 position, our review looks at: free float and daily traded volume against the size of the transaction; your status (controlling shareholder, director, substantial shareholder) and the disclosure that follows; the issuer’s sector and listing segment; and what the transaction must do (LTV, tenor, currency, recourse, custody).

What holders ask about B3.

01How is a block trade reported on B3?
Block trades are executed through B3’s designated special procedures rather than the open book, and clear T+2 through its clearing house. Eligibility is limited to shares the CVM lists as blockable, each with a minimum lot size. Any resulting holding that reaches or crosses 5% of a class, or a further multiple, is separately notifiable to the issuer and the CVM — Black Haven plans that disclosure around the trade.
02How is a block printed on B3?
The block is negotiated off the order book and then reported to B3 — Brasil, Bolsa, Balcão under its rules. The structure preserves discretion until the print.
03Which B3 segments do you handle?
All principal segments B3 — Brasil, Bolsa, Balcão runs: Novo Mercado (highest corporate-governance tier); Level 2; Level 1; Bovespa Mais. The more liquid tiers are simpler to execute.
04Does large-holding disclosure apply?
Depending on the size and the seller’s standing, yes — under CVM Resolution 80. We manage the timing and wording.
